Terms of use

1. Nature of the service
Slate is a cloud system for issuing invoices, receipts and VAT reports for freelancers and businesses in Israel, at app.slate.co.il. Using the service constitutes agreement to these terms and to the privacy policy.
2. Eligibility and authority
The service is intended for users aged 18 and over. Anyone signing up on behalf of a sole trader, partnership or company confirms they are authorized to bind that business to these terms. An account is intended for use by the business that registered it.
3. User account
Signup is done using an email address (one-time code) or a Google account. You are responsible for keeping access to your account secure and for the accuracy of the details you enter - including business details, customer details, and the documents you produce through the service. The account may not be transferred or made accessible to anyone not authorized on your behalf, and you must tell us immediately if you suspect your account is being misused.
4. Payment, renewal and cancellation
The free plan covers document issuing, digital signing, the Israel Invoice connection, VAT reports and Open Format export. Some features, including expense management and the AI features, are not part of the free plan; what each plan includes is shown in the system and may change. While your account is on a free plan we do not collect credit card details. Document issuing on the free plan has no volume cap, subject to fair and reasonable use at a level that matches ordinary business activity.
The free plan is provided as is, with no commitment to its continuity, its feature scope, or its current usage limits, and section 17 (limitation of liability) applies to it in full.
5. Responsibility for content and documents
You are solely responsible for the accuracy of the data you enter - business details, customer details, amounts, and tax classification. Slate provides the tools to issue technically valid documents (sequential numbering, digital signing, compliance with Tax Authority rules), but is not responsible for the accuracy of the business data you enter into them, and is not a substitute for professional tax or accounting advice. We recommend reconciling documents and reports against your own books on a regular basis.
6. AI-based features
AI-based features (receipt recognition, the "ask your books" assistant, drafting documents from plain language) always produce a suggestion only - a pre-filled form or draft text that requires explicit human approval before saving or sending. No AI action writes directly to a fiscal document, expense, or customer message without your approval. The responsibility for reviewing a draft's accuracy before approving it is yours.
Processing happens at the external AI providers listed in the privacy policy, and only at the moment you trigger a feature. Output may be wrong or incomplete. We do not use your content to train models.
7. Issued fiscal documents
A document that has been issued and marked as "issued" is a permanent record under law, and cannot be edited or deleted - including by the user themselves. Correction is done only through a credit note. Such documents are retained per the legal retention requirement (7 years), even after the account is closed.
8. Allocation numbers and the Tax Authority
When a document requires an allocation number, Slate sends a request to the Tax Authority on your behalf, once you have connected your account and authorized it. We are responsible for sending the request and recording the response, but not for the availability of the Tax Authority's system, its response time, or the outcome of the request. A rejected or failed request does not prevent the document from being issued, and the decision on how to proceed (continue, object, or cancel via a credit note) is yours, along with its tax consequences.
9. Third-party services and payment clearing
The service relies on external providers for hosting, data storage, email delivery, Google sign-in and AI features. The full list is in the privacy policy. If payment clearing or collection services are enabled in the system, Slate acts as a technical interface only: the contract, the fees and the responsibility for receiving funds are between you and the clearing provider, under its own terms.
10. Delivering documents to customers
Sending a document by email goes through a mail provider, and we cannot guarantee the message will reach the recipient's inbox or avoid being classified as spam. It is your responsibility to confirm with the customer that the document arrived. A message failing to arrive does not affect the validity of a document that has been issued.
11. Importing data from another system
Importing data (Open Format file, CSV or Excel) is based on the files you supply. The system shows a reconciliation report for your approval before writing anything, but we do not verify the historical data against your previous books - approving the import is your declaration that it is correct. Imported documents are stored as historical records under their original numbers and do not join the live numbering sequence.
12. Service availability and changes
We work toward high availability, but the service does not come with a numeric availability commitment (SLA). Planned maintenance will be carried out, where possible, during hours of low usage. Issued documents remain stored and backed up even during a temporary availability issue.
We may change, add or remove features. Features marked as experimental or beta are provided as is and may change or stop at any time.
13. Support
Support is provided through the contact page and the in-app support form, on business days and on a reasonable-effort basis, without a committed response time. Support covers help using the system and technical faults; it does not include tax advice, accounting advice, or entering data on your behalf.
14. Prohibited use
The service may not be used to:
- Issue false or fictitious documents.
- Infringe a third party's rights or break the law.
- Attempt access to another account's data or bypass permission controls.
- Circumvent or tamper with numbering, digital signing, or plan limits.
- Copy, reverse engineer, or derive the system's source code.
- Access the system automatically, scrape data in bulk, or run load tests without our written approval.
- Resell, rent, or present the service as your own.
Such use will lead to account suspension, without affecting the obligation to retain documents already issued.
15. Intellectual property and licence
The system, its code, design, interface, documentation and Slate's trademarks are Slate's property and protected by law. You receive a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the service for your own business, under these terms. Nothing in these terms transfers any ownership right in the system to you. Suggestions and feedback you send us voluntarily may be used by us without payment and without attribution.
16. Your data
The documents, customer details and business data you enter are yours. We do not sell them, do not use them to train models, and do not pass them to third parties other than the providers listed in the privacy policy or where the law requires it. We may use aggregated, anonymous statistics that do not identify you or your customers to improve the service. You can export your data at any time, including an Open Format file.
17. Limitation of liability
The service is provided AS IS and AS AVAILABLE. We do not warrant that it will fit every business need, run without errors, or be continuously available.
To the extent permitted by law, Slate will not be liable for indirect, consequential or special damage, lost profit, lost revenue, lost data or damage to reputation. Our total liability for any claim relating to the service will not exceed the amounts you actually paid us in the three months preceding the event. These limits do not apply to wilful misconduct, or where the law does not permit limiting liability.
We are not liable for damage caused by incorrect data you entered, by a tax decision you made based on the system, by a third party's actions, or by unauthorized access to your account originating from your own login details.
18. Indemnity
You agree to indemnify Slate, its employees and its service providers against any claim, demand, damage or expense, including legal fees, arising from your breach of these terms, from unlawful use of the service, or from a third-party claim relating to the content and data you entered. We will notify you of such a claim within a reasonable time and let you take part in the defence.
19. Suspension and termination
You may cancel your account at any time. We may suspend or close an account on reasonable prior notice, and immediately in case of a breach of these terms, suspected misuse, or a legal requirement.
After closure you have 30 days to download your data and documents, including an Open Format export; exporting before closing is recommended. An account unused for 12 consecutive months may be closed. In any case, issued fiscal documents are retained per the legal retention requirement (7 years), and the responsibility for keeping your books as the law requires remains yours.
20. Communications and notices
On signup you agree to receive operational messages about your account, the service and changes to these terms. These are part of the service while your account is active. Marketing email is sent only with your consent and can be unsubscribed from at any time, via the link at the bottom of the message or by contacting us. A message sent to the email address on the account, or displayed inside the system, is considered delivered.
21. Force majeure
We will not be liable for delay or failure to perform caused by circumstances beyond our reasonable control, including war, hostilities, a state of emergency, strikes, natural disaster, power or communications outage, a cyber attack, or a failure at an infrastructure provider. We will work to limit the impact and restore the service as soon as possible.
22. Assignment
You may not assign your rights and obligations under these terms without our written consent. We may assign them to an affiliate or as part of a merger, acquisition or transfer of business, provided your rights under these terms are not harmed.
23. Miscellaneous
These terms, together with the privacy policy, are the entire agreement between us regarding the service. If any clause is found invalid, the rest remain in force. Delay in exercising a right, or a waiver in one case, is not a waiver of that right in another case. Any change to these terms must be in writing.
24. Governing law and jurisdiction
These terms are governed by Israeli law, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction.

We will update these terms from time to time. The current version will be published on this page with the update date.
